Term and Termination Clause Examples

Subject to Section 3.2, the term of this Agreement (the 'Term') shall commence on the Effective Date, and shall continue for an initial term of six (6) years and shall automatically renew for an additional six (6) years unless the Manager notifies the Company at least sixty (60) days prior to the end of the initial term. The term of this Agreement begins on the Effective Date and will remain in effect for an initial term of 3 years ("Initial Term"), unless otherwise terminated as permitted herein. After the Initial Term, this Agreement shall automatically renew for successive 1-year periods (each, a "Renewal Term") unless a Party provides the other Party with written notice of its election to terminate this Agreement at least 180 days prior to the expiration of the Initial Term or the then-current Renewal Term as applicable. The Initial Term together with all Renewal Terms and any wind-down or transition period shall be collectively referred to herein as the "Term." Any Program Outline(s) still in effect will terminate on the date that termination of the Agreement takes effect, subject in each case to Affirm's obligations in Section 11.6 (Orderly Transition).

Unless terminated sooner as provided herein, this Agreement shall continue in full force and effect from the Effective Date until the expiration of each of Licensee's and Licensor's obligation to pay royalties hereunder. Upon the expiration of Licensee's obligation to pay royalties hereunder, the license granted to Licensee in this Agreement will become perpetual, irrevocable and royalty-free.

This Agreement shall commence immediately upon the Effective Time and shall terminate upon the earliest to occur of: (i) the second (2nd) anniversary of the Effective Time, (ii) the last date on which either Party is obligated to provide any Service to the other Party in accordance with the terms of this Agreement and the Schedules or (iii) the mutual written agreement of the Parties to terminate this Agreement in its entirety.

Unless earlier terminated pursuant to Sections 10.2-10.4, this Agreement shall become effective as of the Effective Date and shall remain in effect for three (3) years from the Effective Date.

This Agreement will remain in full force during the Escrow Period. Even after this Agreement is terminated, certain provisions will remain in effect which are by their nature meant to survive termination, including, but not limited to, items 3, 4, 5, 7, 9, 10, 11, and 12 of this Agreement.

The term of this Agreement ('Term') begins on the Effective Date and continues as long as Takeda's payment obligation to Arcturus set forth in Section 3.3 exists, unless terminated prior to that date in accordance with this Section 6.

TERM AND TERMINATION 10.1 Term This Agreement shall commence on the Effective Date and continue until terminated as provided in this Agreement. 10.2 Termination Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within [Termination.CurePeriod] days.

The term of this Agreement shall extend until (i) the first anniversary of its effective date (the 'First Anniversary'), unless it has been extended in accordance with Section 5.2 or (ii) it has been terminated prematurely in accordance with Section 5.3 (the earlier of clauses (i) and (ii), the 'Maturity Date').

This Agreement shall enter into effect on the Effective Date and shall remain in full force and effect (i) as long as the Licensed Product is covered by a Valid Claim in any country of the Territory; (ii) the expiration of any regulatory marketing exclusivity period or other statutory designation that provides similar exclusivity for the Commercialisation of the Licensed Product in any country of the Territory; or (iii) on a country by country of the Territory, and Licensed Product by Licensed Product basis, for a period of ten (10) years after the First Commercial Sale Date in the respective country of the Territory, whichever term is longer ('Term').

Unless terminated sooner as provided herein, this Agreement shall continue in full force and effect from the Effective Date until the expiration of each of Licensee's and Licensor's obligation to pay royalties hereunder. Upon the expiration of Licensee's obligation to pay royalties hereunder, the license granted to Licensee in this Agreement will become perpetual, irrevocable and royalty-free.

13.1 Term. The term of this Agreement will commence as of the Execution Date and, unless terminated earlier, shall, on a Product-by-Product and country by country basis, continue until the expiration of the Royalty Term (the 'Term'). If the Closing Date has not occurred by the [***] day following the Execution Date, then this Agreement may be terminated by either Party upon written notice to the other Party. 13.2 Termination. 13.2.1 Termination for Material Breach. From the Execution Date and until the First Commercial Sale of the Product in the United States, subject to Section 13.3 below, each Party (the 'Non-Breaching Party') may terminate this Agreement in relevant part (on a country-by-country basis as such breach relates to the applicable country), or in its

This Agreement shall be effective as of the Effective Date and, unless terminated earlier pursuant to Section 13.2 (Termination Rights), this Agreement shall continue in effect on a Licensed Product-by-Licensed Product and country-by-country basis until expiration of the last Royalty Term to expire under this Agreement ('Term'). Upon expiration of the Royalty Term for the Licensed Products, all licenses of the Parties under Section 7 (Licenses) with respect to the Licensed Products then in effect shall become fully paid-up, perpetual licenses. This Agreement shall terminate automatically in the event that either Party exercises its right to terminate Amendment No. 2 pursuant to Section 2.4 thereof.

Unless earlier terminated, the Agreement will continue in full force and effect, on a Product-by-Product, Discovery Program-by-Discovery Program, Development Program-by-Development Program and country-by-country basis until the date no further payments are due under Section 6 above.

This Agreement shall commence on the Effective Date and shall remain in effect for a period of one (1) year, unless extended by mutual written agreement of the Parties, or earlier terminated in accordance with the provisions of this Article 3.
